1. Scope

1.1 These General Terms and Conditions (hereinafter "GTC") of DIMAX International GmbH, Flinger Broich 203, 40235 Düsseldorf, Germany, email: shop@dimaxgroup.com, phone: +49 211 94289001 (hereinafter "Seller"), apply to all contracts for the supply of goods concluded between a consumer or entrepreneur (hereinafter "Customer") and the Seller in respect of the goods presented by the Seller in its online shop. The inclusion of the Customer's own terms and conditions is hereby rejected unless otherwise agreed.

1.2 A consumer within the meaning of these GTC is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or independent profession.

1.3 An entrepreneur within the meaning of these GTC is a natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of their trade, business or independent profession.

2. Conclusion of contract

2.1 The product descriptions in the Seller's online shop do not constitute binding offers by the Seller but serve as an invitation to the Customer to submit a binding offer.

2.2 The Customer can submit the offer via the online order form integrated into the Seller's online shop. After placing the selected goods in the virtual shopping cart and completing the electronic ordering process, the Customer submits a legally binding contractual offer in respect of the goods in the shopping cart by clicking the button that concludes the ordering process. The Customer can also submit the offer to the Seller by phone, email or post.

2.3 The Seller may accept the Customer's offer within five days:

  • by sending the Customer a written order confirmation or an order confirmation in text form (email), whereby receipt of the order confirmation by the Customer is decisive, or
  • by delivering the ordered goods to the Customer, whereby receipt of the goods by the Customer is decisive, or
  • by requesting payment from the Customer after the Customer has placed the order.

If several of the above alternatives apply, the contract is concluded at the time when one of these alternatives first occurs. The period for accepting the offer begins on the day after the Customer sends the offer and ends at the end of the fifth day following the sending of the offer. If the Seller does not accept the Customer's offer within this period, the offer is deemed rejected, with the result that the Customer is no longer bound by its declaration of intent.

2.4 If the Customer selects a payment method offered by PayPal, payment is processed by the payment service provider PayPal (Europe) S.à r.l. et Cie, S.C.A., 22–24 Boulevard Royal, L-2449 Luxembourg (hereinafter "PayPal"), subject to the PayPal User Agreement, available at https://www.paypal.com/de/legalhub/paypal/useragreement-full, or, if the Customer does not have a PayPal account, subject to the terms for payments without a PayPal account, available at https://www.paypal.com/de/legalhub/paypal/privacywax-full. If the Customer pays using a PayPal payment method selectable in the online ordering process, the Seller hereby declares its acceptance of the Customer's offer at the moment the Customer clicks the button that concludes the ordering process.

2.5 If the Customer selects credit card or Apple Pay as the payment method, the Seller hereby declares its acceptance of the Customer's offer at the moment the Customer initiates the payment by clicking the button that concludes the ordering process.

2.6 When an offer is submitted via the Seller's online order form, the contract text is stored by the Seller after conclusion of the contract and sent to the Customer in text form (e.g. email or letter) after the order has been submitted. The Seller does not make the contract text accessible beyond this. If the Customer has set up a customer account in the Seller's online shop before submitting the order, the order data are archived on the Seller's website and can be accessed by the Customer free of charge via the password-protected customer account using the corresponding login data.

2.7 Before submitting a binding order via the Seller's online order form, the Customer can identify possible input errors by carefully reading the information displayed on the screen. An effective technical means of better identifying input errors is the browser's zoom function, which enlarges the display on the screen. The Customer can correct entries during the electronic ordering process using the usual keyboard and mouse functions until clicking the button that concludes the ordering process.

2.8 The contract may be concluded in German or English.

2.9 Order processing and contact usually take place by email and automated order processing. The Customer must ensure that the email address provided for order processing is correct so that emails sent by the Seller can be received at that address. In particular, when using spam filters, the Customer must ensure that all emails sent by the Seller or by third parties commissioned by the Seller to process the order can be delivered.

2.10 For deliveries to Switzerland, the purchase contract is concluded between the Customer and MeinEinkauf AG, St. Gallen (CHE-331.561.017 MWST), which also handles customs clearance, invoicing and delivery in Switzerland. This service is included in the purchase price and the shipping costs charged. To ensure smooth delivery to Switzerland, we inform you for reasons of transparency that MeinEinkauf GmbH, Konstanz, Germany (DE285677365), is also involved in the supply chain. This does not incur any additional costs for the Customer.

3. Right of withdrawal

3.1 Consumers are generally entitled to a right of withdrawal. The withdrawal period is thirty days.

3.2 Further information on the right of withdrawal can be found in the Seller's withdrawal policy. Withdrawal may also be declared via the withdrawal function at https://konner-sohnen.com/pages/widerrufsbelehrung.

3.3 The right of withdrawal does not apply to consumers who, at the time the contract is concluded, are not nationals of a Member State of the European Union and whose sole place of residence and delivery address at the time the contract is concluded are located outside the European Union.

4. Prices and payment terms

4.1 Unless otherwise stated in the Seller's product description, the prices stated are total prices including statutory VAT. Any additional delivery and shipping costs are stated separately in the respective product description.

4.2 For deliveries to countries outside the European Union, additional costs may arise in individual cases for which the Seller is not responsible and which must be borne by the Customer. These include, for example, costs for money transfers by banks (e.g. transfer fees, exchange rate fees) or import duties or taxes (e.g. customs duties). Such money-transfer costs may also arise if the delivery is not made to a country outside the European Union but the Customer makes the payment from a country outside the European Union.

4.3 The payment options are communicated to the Customer in the Seller's online shop.

4.4 If prepayment by bank transfer has been agreed, payment is due immediately after conclusion of the contract, unless the parties have agreed a later due date.

4.5 If the Customer selects a payment method offered by PayPal, payment is processed by PayPal. Where PayPal offers payment methods for which the Seller provides advance performance (e.g. purchase on account or payment in instalments), the Seller assigns its payment claim to PayPal or to the payment service provider commissioned by PayPal and specifically named to the Customer (in particular Ratepay GmbH, Franklinstraße 28–29, 10587 Berlin, Germany). Before accepting the Seller's assignment, PayPal or the commissioned payment service provider carries out a credit check using the transmitted customer data. The Seller reserves the right to refuse the selected payment method if the check is negative. If the selected payment method is approved, the Customer must pay the invoice amount within the agreed payment period or in the agreed instalments. In this case, the Customer can only make payments with debt-discharging effect to PayPal or the commissioned payment service provider. However, the Seller remains responsible for general customer enquiries, e.g. regarding the goods, delivery time, shipping, returns, complaints, declarations of withdrawal and returns, or credit notes, even if the claim has been assigned.

4.6 If the Customer selects a Klarna payment method (Pay now, Pay later, Slice it), payment is processed by Klarna Bank AB (publ), Sveavägen 46, 111 34 Stockholm, Sweden (hereinafter "Klarna"). Klarna's terms of use apply, available at https://www.klarna.com/de/agb/. The availability of individual Klarna payment methods is subject in particular to a successful identity and credit check. For the Pay later and Slice it methods, the Customer can only make payments with debt-discharging effect to Klarna. The Seller nevertheless remains responsible for general customer enquiries.

4.7 If the Customer selects credit card as the payment method, payment is processed via Shopify Payments, provided by Shopify International Limited, Victoria Buildings, 2nd Floor, 1–2 Haddington Road, Dublin 4, D04 XN32, Ireland, using the payment service provider Stripe Payments Europe, Ltd., 1 Grand Canal Street Lower, Grand Canal Dock, Dublin, D02 H210, Ireland. The credit card is charged immediately after the ordering process is completed.

4.8 If the Customer selects Apple Pay as the payment method, payment is also processed via Shopify Payments (see section 4.7). The Customer must have an Apple device with Apple Pay set up. The payment method stored in Apple Pay is charged immediately after the ordering process is completed.

5. Delivery and shipping terms

5.1 Goods are delivered by shipping to the delivery address provided by the Customer, unless otherwise agreed. The delivery address stated in the Seller's order processing is decisive for processing the transaction. Notwithstanding this, if PayPal is selected as the payment method, the delivery address stored by the Customer with PayPal at the time of payment is decisive.

5.2 If the transport company returns the shipped goods to the Seller because delivery to the Customer was not possible, the Customer bears the costs of the unsuccessful shipment. This does not apply if the Customer is not responsible for the circumstance that made delivery impossible, or if the Customer was temporarily prevented from accepting the service offered, unless the Seller had announced the service to the Customer a reasonable time in advance.

6. Retention of title

6.1 In relation to consumers, the Seller retains title to the goods delivered until the purchase price owed has been paid in full.

6.2 In relation to entrepreneurs, the following additionally applies: the Seller retains title to the goods delivered until all claims arising from an ongoing business relationship have been settled in full. The Customer is entitled to resell the goods subject to retention of title in the ordinary course of business. The Customer assigns to the Seller in advance all claims arising from such resale in the amount of the invoice amount, regardless of whether the goods subject to retention of title are combined or mixed with a new item. The Seller accepts this assignment. The Customer remains authorised to collect the claims even after the assignment. The Seller's right to collect the claims itself remains unaffected. However, the Seller will not collect the claims as long as the Customer meets its payment obligations from the proceeds collected, is not in default of payment and, in particular, no application for the opening of insolvency or similar proceedings has been filed and payments have not been suspended. If this is the case, the Seller may demand that the Customer disclose the assigned claims and their debtors, provide all information required for collection, hand over the relevant documents and notify the debtors (third parties) of the assignment.

6.3 If the realisable value of the securities exceeds the Seller's claims by more than 10%, the Seller will release securities of its choice at the Customer's request.

7. Liability for defects and warranty

7.1 If the purchased item is defective, the statutory provisions on liability for defects apply.

7.2 The Customer is asked to report goods delivered with obvious transport damage to the carrier and to inform the Seller of this. If the Customer does not do so, this has no effect whatsoever on its statutory or contractual claims for defects.

7.3 For entrepreneurs, the following applies by way of derogation from section 7.1: the Customer must inspect the goods for deviations in quality and quantity without undue delay and with due care, and notify the Seller in writing or in text form of obvious defects within 7 days of receipt of the goods. Timely dispatch of the notification is sufficient to meet the deadline. This also applies to hidden defects discovered later, from the time of discovery. If the Customer breaches its duty to inspect and give notice, claims for defects are excluded unless the Seller has fraudulently concealed the defect.

7.4 If the Customer is a merchant within the meaning of Section 1 of the German Commercial Code (HGB), the commercial duty to inspect and give notice of defects under Section 377 HGB applies. If the Customer fails to comply with the notification obligations set out there, the goods are deemed approved.

7.5 For certain goods, the manufacturer additionally grants a warranty. Details can be found in the warranty terms enclosed with the product and available in the online shop. Statutory rights in respect of defects exist in addition to the warranty and are not restricted by it.

8. Liability

8.1 The Seller is liable to the Customer for all contractual, quasi-contractual and statutory claims, including tort claims, for damages and reimbursement of expenses as follows: the Seller's liability is excluded, with the exception of claims for damages by the Customer arising from injury to life, body or health or from the breach of essential contractual obligations (cardinal obligations), and liability for other damage based on an intentional or grossly negligent breach of duty by the Seller, its legal representatives or vicarious agents. Essential contractual obligations are those whose fulfilment is necessary to achieve the purpose of the contract.

8.2 In the event of a breach of essential contractual obligations, the Seller is only liable for the foreseeable damage typical of the contract if this was caused by simple negligence, unless the claims for damages by the Customer arise from injury to life, body or health.

8.3 The limitations in sections 8.1 and 8.2 also apply in favour of the Seller's legal representatives and vicarious agents if claims are asserted directly against them.

8.4 The limitations of liability in sections 8.1 and 8.2 do not apply where the Seller has acted intentionally, has given a guarantee for the quality of the goods or has fraudulently concealed a defect, or where liability is mandatory under applicable law, in particular under the German Product Liability Act.

9. Applicable law

All legal relationships between the parties are governed by the law of the Federal Republic of Germany, excluding the laws on the international sale of movable goods (UN Convention on Contracts for the International Sale of Goods). For consumers, this choice of law applies only insofar as the protection granted is not withdrawn by mandatory provisions of the law of the state in which the consumer has their habitual residence.

10. Place of jurisdiction

If the Customer acts as a merchant, a legal entity under public law or a special fund under public law with its registered office in the territory of the Federal Republic of Germany, the exclusive place of jurisdiction for all disputes arising from this contract is the Seller's place of business. If the Customer's registered office is located outside the territory of the Federal Republic of Germany, the Seller's place of business is the exclusive place of jurisdiction for all disputes arising from this contract if the contract or claims arising from it can be attributed to the Customer's professional or commercial activity. In the above cases, however, the Seller is always entitled to bring an action before the court at the Customer's registered office.

11. Codes of conduct

11.1 The Seller has submitted to the guidelines for participation in "Google Customer Reviews", available at https://support.google.com/merchants/topic/7105962.

11.2 The Seller has submitted to the Trusted Shops quality criteria, available at https://www.trustedshops.com/tsdocument/TS_QUALITY_CRITERIA_de.pdf.

12. Alternative dispute resolution

The Seller is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
